Terms and Conditions for Contract Diagnostics
Last Updated: August 31, 2026
Please read these Terms of Use carefully before using the services offered by Contract Diagnostics.
YOUR CONTINUED USE OF THIS WEBSITE INDICATES THAT YOU HAVE BOTH READ AND ACCEPT THESE TERMS. YOU CANNOT USE THIS WEBSITE IF YOU DO NOT ACCEPT THESE TERMS.
Acceptance of the Terms of Use
These Terms of Use (“Terms”) are entered into by and between you (“you” or “Your”) and NewCloud Medical LLC, d/b/a Contract Diagnostics, a Missouri limited liability company (“Contract Diagnostics,” “we,” “us,” or “our”). These Terms, together with our Privacy Policy, govern your access to and use of contractdiagnostics.com (the “Website”) and any related services, content, and functionality we offer (collectively, the “Service”).
By accessing or using the Service, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
Eligibility
The Service is intended for physicians, physicians-in-training, and advanced practice providers who are 18 years of age or older and located in the United States or its territories. By using the Service, you represent and warrant that you meet these requirements and that you are legally capable of entering into a binding contract.
Description of Services
Contract Diagnostics provides employment contract review, compensation benchmarking, and related consulting services to physicians and advanced practice providers (the “Services”). Purchase of a Service entitles you to the specific deliverable described at checkout or in your engagement (for example, a written contract review, a benchmarking report, or a scheduled consultation).
We are constantly refining our Services and reserve the right to modify the scope, format, or delivery of a Service at our discretion, provided any material change does not diminish the substance of a Service you have already purchased.
Not Legal, Financial, or Tax Advice
CONTRACT DIAGNOSTICS IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL, FINANCIAL, OR TAX ADVICE. Our Services are educational and consultative in nature — they are intended to help you understand and negotiate the terms of your employment contract, not to substitute for the advice of a licensed attorney, accountant, or financial advisor. Contract Diagnostics does not offer legal services, provide legal opinions or act as a “law” consultant and nothing herein creates an attorney-client relationship or privilege. Any compensation benchmarking data we provide reflects survey and market data available to us at the time and is not a guarantee of any particular outcome. You are solely responsible for any decision you make regarding a contract or offer of employment.
Accessing the Service and Account Security
You are responsible for making all arrangements necessary for you to access the Service, and for ensuring that any information you provide to us — including contact information used to schedule consultations — is accurate, current, and complete.
If you are given login credentials to any client portal or scheduling tool we use, you must keep them confidential and notify us immediately of any unauthorized use of your account.
Purchasing Services; Your Information
To purchase a Service, you may be asked to provide information including your name, email address, phone number, employment or practice information, and payment details. You represent and warrant that all information you provide is true, correct, and complete, and that you are authorized to use the payment method provided.
Payments are currently processed through HubSpot Payments and Stripe. By submitting payment information, you authorize us to share that information with our payment processor solely to complete your purchase.
Submitting your information through our forms constitutes an electronic signature and confirms your agreement to these Terms. An electronic signature has the same effect as a handwritten signature.
Cancellations, Rescheduling, and Refunds
Because our Services are performed specifically for you rather than shipped as a physical product, the following applies in place of a traditional returns policy:
- Consultations and scheduled meetings may be rescheduled or cancelled up to 48 hours in advance without charge.
- Once a contract review or benchmarking report has been started, fees are non-refundable, as the work product has been substantially performed.
- If a Service has been purchased but work has not yet begun, you may request a full refund by contacting us at info@contractdiagnostics.com.
- We reserve the right to decline or cancel an order — for example, if we are unable to provide the requested Service, if the information provided is inaccurate, or if we suspect fraud or unauthorized use of a payment method.
- We may decline to provide our products or services, or terminate a business relationship, for legitimate business, operational, contractual, compliance, security, or other lawful reasons.
Prices
We reserve the right to revise our prices at any time before an order is accepted. Prices in effect at the time your order is accepted will govern that order.

The Service and its original content (excluding content you submit), including our reports, benchmarking data, methodology, trademarks, and trade dress, are and will remain the exclusive property of Contract Diagnostics and its licensors. Nothing in these Terms grants you any right to use our name, logo, or trademarks without our prior written consent.
Your Feedback to Us
If you send us feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, and incorporate that feedback without restriction or compensation to you.
After using or purchasing our Services, you may add a review or comment relating to the Services purchased although we reserve the right to remove any such review in the event that same is untrue, inflammatory or libelous.

- Submit information you do not have the right to provide, or that infringes another person’s rights.
Termination
We may suspend or terminate your access to the Service at any time, with or without notice, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately; this does not affect any Service you have already purchased and are entitled to receive.
“As Is” and “As Available” Disclaimer
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any benchmarking data or contract review will achieve any particular outcome in your negotiation.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
After using or purchasing our Services, you may add a review or comment relating to the Services purchased although we reserve the right to remove any such review in the event that same is untrue, inflammatory or libelous.
Limitation of Liability
To the maximum extent permitted by law, the total liability of Contract Diagnostics and its officers, employees, and agents arising out of or relating to the Service shall not exceed the greater of (i) the amount you paid us in the 12 months preceding the claim, or (ii) $100 USD. In no event will we be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost employment opportunities, arising from your use of the Service.
In no circumstances will Contract Diagnostics be liable for any indirect, punitive or consequential loss or damages, loss of income, profits, goodwill, data, contracts, use of money or any loss or damages arising from or in any way connected to the Services or interruption of the Services of any type, whether in contract, tort or otherwise.
This limitation does not apply to liability that cannot be limited under applicable law, or to liability arising from our gross negligence or willful misconduct.
Indemnification
You agree to defend, indemnify, and hold harmless Contract Diagnostics and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Service.
Limitation on Time to File Claims
Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim accrues, or it will be permanently barred.
United States Legal Compliance
You represent that you are not located in a country subject to a U.S. government embargo and are not listed on any U.S. government list of prohibited or restricted parties.
Governing Law and Disputes
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. If you have a concern or dispute, you agree to first contact us to try to resolve it informally before pursuing any formal action.
Severability and Waiver
If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will remain in full force and effect. Our failure to enforce a right under these Terms is not a waiver of that right.
Changes to These Terms
We may modify these Terms at any time. If a change is material, we will make reasonable efforts to provide at least 30 days’ notice before it takes effect. Your continued use of the Service after a revision becomes effective constitutes acceptance of the revised Terms.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Contract Diagnostics regarding the Service and supersede any prior agreements or understandings.
Contract Diagnostics shall have the right to assign these Terms or any of its rights or obligations under these Terms without a User’s consent. Users may not assign any rights without express, written permission by Contract Diagnostics.
